1. Agreement to Terms

By accessing or using BizSpot NY ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

BizSpot NY is a business directory platform that allows users to discover and list NYC-based startups, businesses, and professional services. We provide a platform for businesses to create listings and for users to browse and discover businesses.

3. User Accounts

3.1 Account Creation

To submit a business listing, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your password
  • Notify us immediately of any unauthorized use of your account
  • Take responsibility for all activities that occur under your account

3.2 Account Termination & Right to Decline Service

BizSpot NY reserves the right to decline any business usage of its website and to suspend or terminate your account at our sole discretion. This includes, but is not limited to:

  • Violation of these Terms of Service
  • Violation of our Content Moderation & Code of Conduct policy
  • Fraudulent activity or misuse of the Service
  • Operating in prohibited or illicit industries
  • Any reason we deem necessary to protect our platform and users

If we decline service or remove your listing due to Code of Conduct violations, you will receive a full refund of applicable subscription fees as outlined in our Refund Policy.

4. Business Listings

4.1 Listing Submission

When you submit a business listing, you represent and warrant that:

  • You have the authority to list the business
  • All information provided is accurate and truthful
  • The listing does not violate any laws or third-party rights
  • The content does not contain malicious code or spam
  • You will update the listing if information becomes inaccurate

4.2 Listing Review

All listings are subject to review and approval. We reserve the right to:

  • Reject any listing for any reason
  • Remove or modify listings that violate these Terms
  • Verify information provided in listings
  • Categorize listings as we deem appropriate

4.3 Prohibited Content

Listings must not contain:

  • False, misleading, or deceptive information
  • Illegal products, services, or activities
  • Spam, duplicate listings, or excessive self-promotion
  • Offensive, defamatory, or discriminatory content
  • Malware, viruses, or malicious links
  • Copyrighted material you don't have rights to use
  • Personal information of others without consent

5. Intellectual Property Rights

5.1 Your Content

You retain ownership of content you submit (business names, descriptions, logos, etc.). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content on the Service.

5.2 Our Content

The Service and its original content (excluding user-submitted listings), features, and functionality are owned by BizSpot NY and are protected by international copyright, trademark, and other intellectual property laws.

6. Paid Services

6.1 Digital Service Delivery

BizSpot NY provides digital directory listing services. By purchasing a subscription:

  • Delivery Method: Your listing is delivered digitally as a published entry on our website (bizspotny.com)
  • Activation Timeline: Listings go live immediately upon payment, pending compliance review as outlined in our Content Moderation Guidelines
  • Compliance Review: All listings are subject to review for compliance with our policies. If your listing violates our Code of Conduct, it will be removed and you will receive a full refund as outlined in our Refund Policy
  • Subscription Features: Premium features (enhanced visibility, analytics, priority placement) are delivered digitally through our platform and activate immediately upon successful payment
  • Access: You retain access to your listing and premium features for the duration of your paid subscription period

6.2 Featured Listings & Payment

We offer paid featured listing options. By purchasing a featured listing:

  • You agree to pay the specified fees
  • All payments are securely processed by Stripe. We never store your payment information.
  • Featured listings are subject to the same content guidelines
  • Subscription fees are non-refundable unless required by law or as specified in our Refund Policy

6.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as outlined in our Refund Policy (billing errors, Code of Conduct violations, or illegitimate businesses).

7. Analytics and Usage Data

We track views and clicks on listings to provide analytics. By submitting a listing, you consent to us displaying this information to you and potentially to other users as engagement metrics.

8. Third-Party Links

Our Service contains links to third-party websites and services. We are not responsible for the content, privacy policies, or practices of any third-party sites. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of third-party content or services.

9. Advertising

We use Google AdSense to display advertisements on our Service. Advertisements are subject to Google's policies and may use cookies to serve relevant ads. See our Privacy Policy for more information.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • The Service will be uninterrupted, secure, or error-free
  • The results obtained from using the Service will be accurate or reliable
  • Any errors in the Service will be corrected
  • Business listings are accurate, current, or complete

11. Limitation of Liability

IN NO EVENT SHALL BIZSPOT NY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

You agree to indemnify, defend, and hold harmless BizSpot NY and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit to the Service

You agree not to:
